GOODLEDE FEED LICENSE AGREEMENT

This Goodlede Feed License Agreement (the "Agreement") is a binding contract between Wag Media, LLC, a New York limited liability company doing business as Goodlede ("Goodlede," "we," "us"), and the person or entity that registers for or uses a Key (defined below) ("Licensee," "you"). By checking the acceptance box at registration, by submitting a registration, or by using a Key, the API, or the Widget, you accept this Agreement. If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity, and "Licensee" means that entity.

If you do not agree to this Agreement, do not register and do not use the Feed.

1. Definitions

"Content" means the editorial material authored and delivered by Goodlede through the Feed, including headlines, summaries, the "What backs it" basis text, "Worth noting" caveats, category and significance labels, verification labels, and associated metadata. Content does not include Source Materials or Third-Party Images.

"Feed" means Goodlede's machine-readable stream of Content, delivered through the API or the Widget.

"API" means Goodlede's application programming interface for the Feed.

"Widget" means Goodlede's embeddable script that renders Content on a web page.

"Key" means the credential Goodlede issues to Licensee to access the Feed.

"Licensed Property" means the specific website, newsletter, application, intranet, or display surface identified by Licensee at registration or in an order form, where the Content will be displayed.

"Plan" means the service tier in effect for Licensee (Trial, Starter, Pro, or Enterprise), with the features, limits, and fees described at goodlede.com/feed or in an order form.

"Source Materials" means the third-party articles, pages, and publications that Content links to or is reported from.

"Third-Party Images" means images hosted by third parties, including images whose URLs are returned in the Feed.

2. Registration; Keys

2.1. Access to the Feed requires registration. Licensee must provide accurate and complete information, including legal name, company, address, the Licensed Property, and a general description of how the Content will be used, and must keep that information current.

2.2. Keys are issued to Licensee for the Licensed Property. Licensee is responsible for all use of the Feed under its Keys and must keep Keys confidential. Licensee shall not share, publish, sell, or transfer a Key, and shall not use another party's Key or any credential not issued to Licensee, including any demonstration key appearing in Goodlede's own pages.

2.3. Goodlede may rotate a Key on notice, and may suspend a Key immediately where Goodlede reasonably believes it is compromised, shared, or used in breach of this Agreement.

3. License Grant

3.1. Subject to this Agreement and payment of applicable fees, Goodlede grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license during the Term to (a) access the Feed through the API or Widget using Licensee's Key, and (b) display Content in unmodified form within the Licensed Property, in accordance with Licensee's Plan.

3.2. Trial Plan licenses are granted for evaluation and limited production display, expire automatically thirty (30) days after issuance unless extended in writing, and always require Attribution.

3.3. Except for Plans that expressly include white-label rights, Licensee shall display Attribution as described in Section 5.

3.4. All rights not expressly granted are reserved by Goodlede. There are no implied licenses.

4. Restrictions

Licensee shall not, and shall not permit any third party to:

(a) redistribute, resell, syndicate, or otherwise make the Feed or bulk Content available to any third party as a data feed, dataset, or substitute for the Feed;

(b) display Content on any property other than the Licensed Property without Goodlede's prior written consent;

(c) modify Content, other than truncation for space that preserves meaning, or intermix Content with other material in a way that misattributes it or presents it as Licensee's own reporting;

(d) remove, obscure, or separate attribution, source names, or source links where required by the applicable Plan;

(e) use the Content to train, fine-tune, or improve any machine learning or artificial intelligence model, or permit the Content to be included in any dataset used for such purposes;

(f) circumvent or attempt to circumvent Keys, rate limits, usage limits, or technical restrictions, or access the Feed by scraping, crawling, or any means other than the API or Widget;

(g) use Content in a manner that states or implies Goodlede's or any source publisher's endorsement of Licensee or any product, service, or cause;

(h) use the Feed in violation of applicable law or third-party rights.

5. Attribution

5.1. Where Attribution is required by the applicable Plan, Licensee shall display "Powered by Goodlede" with a working link to goodlede.com, in a position and size reasonably associated with the displayed Content, on every surface where Content appears. The Widget renders Attribution automatically and Licensee shall not suppress it.

5.2. Licensee shall not use Goodlede's name, logo, or marks except as permitted by this Section or with prior written consent.

6. Editorial Integrity

6.1. Content is verification-forward: certain stories carry a "Worth noting" caveat that qualifies the claim. Where Licensee displays a story's summary or basis and that story carries a caveat, Licensee shall display the caveat with it, unmodified. This obligation applies to all Plans, including white-label Plans.

6.2. Content concerning health, medicine, or science may describe early-stage findings. Licensee shall not present such Content as established fact or as advice, and shall not strip stage qualifiers (for example, "in mice" or "early trial") from displayed Content.

7. Source Materials; Third-Party Images

7.1. Content links to Source Materials. Goodlede licenses only its own authored Content. No rights in Source Materials are granted, and Licensee shall not reproduce Source Materials text through or alongside the Feed.

7.2. The Feed may return URLs of Third-Party Images for convenience. Goodlede does not license Third-Party Images and makes no representation that Licensee's display of them is permitted. Licensee is solely responsible for its use of Third-Party Images and will evaluate its own right to display them.

7.3. Licensee shall not remove or alter source names or source links delivered with Content.

8. Fees; Payment

8.1. Fees for each Plan are stated at goodlede.com/feed or in an order form. The Trial Plan is free. Paid Plans are billed in advance on a monthly or annual basis as selected.

8.2. Fees are exclusive of taxes. Licensee is responsible for all applicable taxes other than taxes on Goodlede's income.

8.3. Goodlede may change fees effective on Licensee's next renewal, with at least thirty (30) days' prior notice.

8.4. Goodlede may suspend the Feed for accounts more than fifteen (15) days past due, after notice.

9. Term; Suspension; Termination

9.1. This Agreement takes effect on acceptance and continues until terminated as provided here (the "Term"). Trial Plans expire under Section 3.2. Paid monthly Plans renew monthly and annual Plans renew annually, unless either party gives notice of non-renewal before the renewal date.

9.2. Either party may terminate this Agreement on thirty (30) days' written notice. Goodlede may suspend or terminate immediately on notice if Licensee breaches Sections 2.2, 4, 5, 6, or 7 and, where the breach is curable, fails to cure within ten (10) days of notice.

9.3. On expiration or termination: (a) all licenses end; (b) Licensee shall stop accessing the Feed, remove the Widget and API integrations, and delete cached or stored Content; and (c) Licensee may retain, but not continue to distribute, copies of its own already-published editions (for example, newsletter issues already sent) in which Content appeared in compliance with this Agreement. Sections 7, 9.3, 10 through 15, and 17 survive.

10. Ownership; Feedback

10.1. Goodlede and its licensors own all right, title, and interest in the Feed, the API, the Widget, and the Content, including all intellectual property rights. Licensee's rights are limited to the license in Section 3.

10.2. If Licensee provides suggestions or feedback, Goodlede may use them without restriction or obligation.

11. Content Disclaimer; No Professional Advice

11.1. Goodlede applies an editorial screening process that includes machine screening and human review, and a source check on stories before publication. That process reduces, but cannot eliminate, error. Content summarizes third-party reporting; underlying facts may change or be corrected after publication.

11.2. CONTENT IS PROVIDED FOR GENERAL INFORMATION ONLY. IT IS NOT MEDICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE, AND IT IS NOT A SUBSTITUTE FOR LICENSEE'S OWN EDITORIAL JUDGMENT. LICENSEE IS SOLELY RESPONSIBLE FOR ITS DECISION TO DISPLAY ANY STORY IN THE LICENSED PROPERTY.

11.3. Goodlede may correct, update, or remove any story at any time and, on notice of a material error or a rights complaint, Licensee shall promptly refresh or remove the affected Content from active display.

12. Warranties; Disclaimer

12.1. Each party represents that it has the right and authority to enter into this Agreement.

12.2. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE FEED, THE API, THE WIDGET, AND THE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." GOODLEDE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. TRIAL AND OTHER FREE ACCESS IS PROVIDED WITHOUT WARRANTY OF ANY KIND.

13. Indemnification

13.1. Licensee shall defend, indemnify, and hold harmless Goodlede and its members, managers, and employees from and against any third-party claim, and resulting damages, costs, and reasonable attorneys' fees, arising out of (a) the Licensed Property or Licensee's products and services; (b) Licensee's use of the Feed or Content in breach of this Agreement; (c) Licensee's use of Third-Party Images or Source Materials; or (d) Licensee's violation of law.

13.2. Enterprise order forms may include Goodlede indemnification for third-party claims that unmodified Content, as delivered, infringes U.S. intellectual property rights. No such indemnity applies to self-serve Plans.

14. Limitation of Liability

14.1. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

14.2. GOODLEDE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY LICENSEE TO GOODLEDE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR, FOR TRIAL AND OTHER UNPAID ACCESS, ONE HUNDRED U.S. DOLLARS (US $100).

14.3. The exclusions in this Section do not apply to Licensee's obligations under Section 13, Licensee's breach of Sections 4 or 5, or either party's gross negligence, willful misconduct, or fraud.

15. Governing Law; Venue

15.1. This Agreement is governed by the laws of the State of New York, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2. The exclusive venue for any action arising out of or relating to this Agreement is the state or federal courts sitting in Buffalo, Erie County, New York. Each party consents to the personal jurisdiction of those courts and waives any objection to that venue, including forum non conveniens.

15.3. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT.

15.4. In any action to enforce this Agreement, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.

16. Privacy

Registration information is handled under Goodlede's Privacy Policy at goodlede.com/privacy.html. Goodlede may use Licensee's name and logo to identify Licensee as a customer, with Licensee's prior written consent for each use.

17. Changes to the Service and this Agreement

17.1. Goodlede may modify the Feed, the API, and the Widget, and may update category structures, fields, and formats. Goodlede will use reasonable efforts to give advance notice of breaking API changes.

17.2. Goodlede may amend this Agreement by posting the amended version at goodlede.com and giving notice to Licensee's registered email at least fifteen (15) days before it takes effect. Licensee's continued use of the Feed after the effective date constitutes acceptance. If Licensee objects, Licensee may terminate before the effective date and, for prepaid annual Plans, receive a pro-rata refund.

18. General

18.1. Notices. Notices must be in writing. Notices to Goodlede: [email protected]. Notices to Licensee: the registered email. Notice is effective on transmission absent a bounce.

18.2. Assignment. Licensee may not assign this Agreement without Goodlede's prior written consent, except to a successor in a merger or sale of substantially all assets, on notice to Goodlede. Goodlede may assign this Agreement in connection with a merger, acquisition, or sale of the Goodlede business.

18.3. Independent contractors. The parties are independent contractors. This Agreement creates no partnership, joint venture, or agency.

18.4. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.

18.5. Entire agreement; order of precedence. This Agreement, together with any order form and the Plan descriptions it incorporates, is the entire agreement about the Feed and supersedes prior discussions. If an order form conflicts with this Agreement, the order form controls for that Licensee.

18.6. Severability; waiver. If a provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver.

18.7. Export and sanctions. Licensee represents that it is not located in, or owned or controlled by parties in, any jurisdiction subject to comprehensive U.S. sanctions, and that it will comply with applicable export laws.
